1. Acceptance of Terms
By accessing or using EasyInvoice Hub (the "Service"), provided by OUEWAY ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.
These Terms constitute a legally binding agreement between you and OUEWAY. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Description of Service
EasyInvoice Hub provides a cloud-based platform for generating, managing, and storing invoices and receipts. Our services include:
- Creation of professional invoices and receipts
- Management of business profiles and client databases
- Permanent storage of generated documents
- Revenue tracking and reporting tools
- Team collaboration features with role-based access control
- Multi-organization workspace management
- Subscription-based premium features
We offer both a free tier and paid subscription plans ("Pro" and "Business"). Features, limits, and capabilities vary by plan as described in our pricing page.
3. User Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials, including your email and password. You agree to:
- Use a strong, unique password for your account
- Notify us immediately of any unauthorized use of your account
- Be solely responsible for all activities that occur under your account
- Not share your account credentials with others
We are not liable for any loss or damage arising from your failure to maintain the security of your account.
4. Organizations and Team Collaboration
EasyInvoice Hub uses an organization-based workspace model. Key terms:
- Organizations: Each organization is a separate workspace with its own data, members, and subscription plan
- Organization Owners: The creator of an organization has full control, including the ability to delete the organization and all its data
- Team Members: Owners can invite members with different roles (owner, admin, member, viewer) with varying permissions
- Data Access: All members of an organization can access the data within that organization according to their role permissions
- Subscription: Subscriptions are tied to organizations, not individual users
By joining an organization, you acknowledge that organization owners and administrators can access and manage the data within that organization.
5. User Content and Ownership
You retain full ownership of the data you input into EasyInvoice Hub, including your business details, client lists, invoice contents, and all other user-generated content ("User Content").
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display your User Content solely for the purpose of providing the Service to you and your organization members.
Important: We do not use your invoice data for marketing purposes, sell it to third parties, or use it to train AI models. Your data remains yours.
You represent and warrant that you have all necessary rights, permissions, and consents to upload and use any User Content, including client information, in accordance with applicable data protection laws.
6. Acceptable Use
You agree not to use EasyInvoice Hub for:
- Any illegal purpose or in violation of any local, state, national, or international law
- Generating fraudulent invoices, receipts, or financial documents
- Impersonating any person or entity or falsely claiming affiliation with any person or entity
- Interfering with or disrupting the security, integrity, or performance of the Service
- Attempting to gain unauthorized access to any part of the Service or other users' accounts
- Transmitting any viruses, malware, or other harmful code
- Using automated systems (bots, scrapers) to access the Service without our written permission
- Violating any intellectual property rights of others
- Collecting or storing personal data about other users without their consent
Violation of these terms may result in immediate termination of your account and legal action.
7. Subscriptions and Payments
7.1 Subscription Plans
We offer Free, Pro, and Business subscription plans. Each plan has different features, limits, and pricing as described on our pricing page. Subscriptions are billed on a monthly or annual basis and are tied to organizations.
7.2 Payment Terms
- Payments are processed securely via Stripe, our payment processor
- Subscription fees are charged in advance on a recurring basis (monthly or annually)
- All fees are non-refundable except as required by law or as specified in our refund policy
- You are responsible for all applicable taxes
7.3 Plan Limits
Each subscription plan has specific limits (e.g., number of invoices per month, team members, businesses). If you exceed these limits, you may be required to upgrade to a higher plan or your access may be restricted until you upgrade.
7.4 Cancellation and Refunds
- You may cancel your subscription at any time through your account settings or by contacting us
- Cancellation takes effect at the end of your current billing period
- You will continue to have access to paid features until the end of your billing period
- Refunds are provided only in accordance with applicable consumer protection laws or at our sole discretion
- No refunds are provided for partial billing periods
7.5 Price Changes
We reserve the right to modify subscription prices at any time. We will provide at least 30 days' notice of any price increases. Price changes will apply to your next billing cycle after the notice period.
8. Service Availability and Modifications
We strive to maintain high availability of the Service, but we do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to maintenance, updates, or unforeseen circumstances.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will make reasonable efforts to notify users of significant changes or service interruptions.
"Permanent Storage" Disclaimer: While we strive to maintain high availability and data integrity, no cloud service is immune to failures. We recommend maintaining your own local backups of critical documents. We are not liable for data loss due to service interruptions, technical failures, or force majeure events.
9. Intellectual Property
The Service, including its original content, features, functionality, design, and software, is owned by OUEWAY and is protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.
You may not copy, modify, distribute, sell, or lease any part of the Service or included software, nor may you reverse engineer or attempt to extract the source code of the Service.
The EasyInvoice Hub name, logo, and related marks are trademarks of OUEWAY. You may not use these marks without our prior written permission.
10. Disclaimer of Warranties and Limitation of Liability
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
To the fullest extent permitted by applicable law, OUEWAY and EasyInvoice Hub shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption
- Cost of substitute services
- Any other damages arising out of or in connection with your use of the Service
Our total liability to you for all claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, so the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless OUEWAY, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property or privacy rights
- Any User Content you submit, post, or transmit through the Service
12. Termination
12.1 Termination by You
You may terminate your account at any time via the account deletion feature in Settings or by contacting us. Upon termination, your data will be deleted in accordance with our Privacy Policy.
12.2 Termination by Us
We may suspend or terminate your account immediately, without prior notice, if you:
- Violate these Terms or our Acceptable Use Policy
- Engage in fraudulent, illegal, or harmful activities
- Fail to pay subscription fees when due
- Use the Service in a manner that could harm us or other users
12.3 Effect of Termination
Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data, subject to our data retention policies and legal obligations.
13. Dispute Resolution
If you have any dispute with us, you agree to first contact us at support@oueway.com to attempt to resolve the dispute informally.
If we cannot resolve the dispute informally, you agree that any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of a recognized arbitration organization, except where prohibited by law.
You agree to waive any right to a jury trial and to participate in a class action lawsuit.
14. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which OUEWAY operates, without regard to its conflict of law provisions.
15. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by:
- Posting the updated Terms on this page
- Updating the "Last Updated" date
- Sending you an email notification (for significant changes)
Your continued use of the Service after any changes constitutes acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and terminate your account.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
